Terms & Conditions

For Website Design & Development Services
Effective Date: [26/03/2025]

MotherShepherd Private Limited (“Company,” “we,” or “us”), a company registered under the Companies Act, 2013, provides these Terms governing our website design and development services (“Services”). By availing our Services, the Client (“you”) agrees to these legally binding Terms.

Definitions

  • “Deliverables”: Final website, code, design assets, and documentation.
  • “Project”: Scope defined in the Service Agreement/Proposal.

Scope of Work

  • Services include:
    • Website design, development, testing, and deployment.
    • CMS integration (e.g., WordPress), basic SEO, and 1-month or as per opted package post-launch support.
  • Exclusions:
    • Domain/hosting purchases (unless specified).
    • Third-party plugin/licenses beyond agreed scope.

Client Obligations

You agree to:

  • Provide timely content, feedback, and approvals (delays may incur costs).
  • Ensure legal ownership of submitted media (text, images, logos).
  • Designate a single point of contact for communications.

Payments & Pricing

  • Pricing: As per chosen product
  • Taxes: GST @ 18% (or applicable rate) extra.
  • Late Payments: 1.5% monthly interest (per Indian Contract Act).

Intellectual Property (IP)

  • Pre-Launch: We retain IP until full payment.
  • Post-Payment: Client owns Deliverables (excluding proprietary tools/templates).
  • Third-Party Assets: Licenses (e.g., stock images) must be purchased separately.

Confidentiality

  • Both parties agree to protect confidential data per the Indian Contract Act, 1872.
  • Data processing complies with DPDPA, 2023 (see our Privacy Policy).

7. Revisions & Change Requests

  • 2 free rounds of minor revisions post-design approval.
  • Major changes billed at ₹999/hour or fixed quote.

Warranties & Liabilities

  • We guarantee bug-free performance for 1 month post-launch.
  • Excluded: Issues from unauthorized code edits, third-party plugins, or hosting errors.
  • Liability Cap: Limited to project fees paid (per Indian IT Act).

Dispute Resolution

  • Amicable Negotiation: 30-day resolution period.
  • Jurisdiction: Courts in Farrukhabad, Uttar Pradesh, India.

Force Majeure

Not liable for delays due to natural disasters, strikes, or govt. orders (per Indian Contract Act).

Governing Law

These Terms are governed by Indian laws, including:

  • Information Technology Act, 2000 (including SPDI Rules).
  • Digital Personal Data Protection Act (DPDPA), 2023.

* Promotional Offer

1. Offer Details

1.1 This promotional offer (“Offer”) provides:

  • Free Domain Registration (1 year) for .com/.in/.net extensions (or equivalent value for other TLDs)
  • Free Web Hosting (Basic Shared Hosting) for 12 months
    with purchase of any website development product/service from MOTHERSHEPHERD.

2. Eligibility

2.1 Available only for:

  • New orders above ₹9,999 (before taxes)
  • First-time customers only (not applicable for existing clients)
  • Limited to one domain/hosting package per client

3. Domain Specifics

3.1 Domain inclusions:

  • Registration fee only (renewal charges apply post 1 year)
  • Standard DNS management
  • Domain privacy NOT included

3.2 Restrictions:

  • Premium domains (trademarked/high-value) excluded
  • Client must provide alternate domain choices (we reserve right to reject inappropriate names)

4. Hosting Package

4.1 Includes:

  • 10 GB SSD Storage
  • 100 GB Bandwidth/month
  • 5 Email Accounts
  • SSL Certificate (Basic)

4.2 Exclusions:

  • Dedicated IP/VPN services
  • Advanced security add-ons
  • Backup services beyond weekly automated backups

5. Renewal Policy

5.1 Post 1 year:

  • Domain: ₹2999/year (auto-renewal unless cancelled)
  • Hosting: ₹2,499/year (with 30-day pre-expiry notice)

5.2 Non-payment will result in service suspension

6. Termination

6.1 We reserve right to terminate free services if:

  • Hosting used for illegal/spam activities
  • Resource usage exceeds fair usage policy
  • Payment defaults on primary service

7. General Conditions

7.1 This Offer:

  • Cannot be combined with other discounts
  • Non-transferable
  • Valid till 28-07-2025

7.2 MOTHERSHEPHERD reserves sole discretion on:

  • Service suitability
  • Technical configurations
  • Offer modifications

Note: All other standard Terms of Service apply. This Offer constitutes no entitlement to continued free services beyond promotional period.
